Terms of Service for AccLedger

Welcome to AccLedger! AccLedger is a trading name of ITSAP PORT LTD (company no. 09791906), a company registered in England and Wales. These Terms of Service ("Terms") govern your use of our software-as-a-service platform. By using our services, you agree to be bound by these Terms.
1. Your Account
You are responsible for maintaining the security of your account and password. AccLedger cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. You are responsible for all content posted and activity that occurs under your account.
2. Service Usage
You agree not to use the service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright or trademark laws).
3. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using AccLedger, you consent to the collection and use of information as described in our Privacy Policy, including the transfer of this information for storage, processing, and use by AccLedger.
4. Subscriptions and Payment
The Service is billed on a subscription basis. You will be billed in advance on a recurring, periodic basis. Your Subscription will automatically renew at the end of each billing cycle unless you cancel it.
5. Termination
Upon termination of your subscription, you will have 30 days to export your data before it is permanently deleted from our active production databases, subject to our statutory data retention obligations under UK law.
6. HMRC Compliance & Filing
While AccLedger is designed to facilitate interaction with HM Revenue & Customs (HMRC), the user remains solely responsible for the accuracy, completeness, and timeliness of all tax returns and data submitted to HMRC. ITSAP PORT LTD does not guarantee that HMRC will accept any submission and is not liable for any penalties, interest, or legal action resulting from the use of the software.
7. Limitation of Liability
In no event shall AccLedger, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service. We do not provide tax or legal advice. Our software is a tool to assist with record-keeping and HMRC submissions, but the final responsibility for tax compliance lies with the User.
8. Expert Services — Accountant Marketplace
AccLedger's "Expert Services" package connects you with independent, qualified accountancy firms for services such as VAT verification, Year-End accounts, Self-Assessment, and CT600 reviews. You choose which firm to work with from the rates and information shown in the app, message them directly to describe what you need and agree a final price, and may message more than one firm to compare before deciding. All communication with a firm — including before you pay — takes place inside AccLedger's job thread; you must not share or request personal contact details, and AccLedger may access and review job thread communications for compliance, quality, and dispute resolution purposes.
Intermediary status. AccLedger is a technology platform and payment processor for this marketplace. AccLedger does not provide the accountancy or tax advisory service itself, and is not your registered HMRC tax agent for that service. The professional review, advice, and any accounting adjustments are performed exclusively by the independent firm you select.
Payment. Once you and your chosen firm agree a price in the job thread, the firm confirms it in AccLedger and you're asked to pay. AccLedger collects that payment via Stripe and pays the confirmed price to the firm directly and in full; AccLedger retains its commission (and VAT on that commission) as its platform fee.
Responsibility. AccLedger is responsible for the performance of its own platform service — payment processing, job scheduling, and the availability of the messaging and file-sharing features you use to work with your chosen firm. AccLedger is not responsible for the accuracy of professional advice given by, or the acts or omissions of, the firm you select; disputes about the quality of a review should be raised directly with that firm. Ultimate responsibility for the accuracy of your financial statements, records, and HMRC submissions remains yours; you submit to HMRC using your own credentials or MTD authorisation.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
